I agree with you--too much control and you are no longer an IC. There is a truism that every first-year law student learns: You cannot enforce an illegal contract. The example they give in Contract Law is this: Suppose I hire you to kill Mr. X and the deal is I give you 5K upfront and then 5K after the deed is done. You kill him, and then I refuse to pay the remaining 5K. You have no cause of action to sue me for the balance because the whole action was illegal (in fact, it was a first-degree felony and I could get 5 to 99 years in prison rather than the 5K you owe me if I am apprehended). So they can put anything they want into the contract--but if it is illegal, it cannot be enforced, nor should it be signed by any MT.
