Transcend Submits Bid to Acquire Spheris

 

 

ATLANTA, Apr 09, 2010 (BUSINESS WIRE) -- TRANSCEND SERVICES, INC. /quotes/comstock/15*!trcr/quotes/nls/trcr (TRCR 17.43, +0.13, +0.75%) , the third largest provider of medical transcription services to the U.S. healthcare market, announced today that it has submitted a bid to acquire substantially all of the assets of Nashville, Tennessee-based Spheris, Inc. and the stock of its subsidiary for $78.25 million.

 

As a result of its inability to service its debt, Spheris filed for Chapter 11 bankruptcy protection on February 3, 2010, after entering into a "stalking horse" purchase agreement with MedQuist Inc. and CBay Inc. in a proposed sale under Section 363 of the United States Bankruptcy Code. The United States Bankruptcy Court for the District of Delaware established a bid process whereby interested parties, including Transcend, submitted qualified bids on April 8, 2010. All qualified bidders will be able to participate in an auction of substantially all of the assets of Spheris and the stock of its subsidiary on April 13, 2010. If Transcend is the successful bidder in the auction, it anticipates that the ensuing transaction will close by mid- to late-April.

 

A portion of the financing for the potential transaction is expected to come from a new four-year, $65 million senior secured credit facility. As required by the bid process, Transcend has obtained a commitment letter for the credit facility from its bank. Transcend expects other parties, including the stalking horse, to participate in the auction and the ultimate outcome is uncertain at this time.

Just proves they are a strong believer in VR and all accounts will eventually be VR at some point, which we all know pays LESS. It is not hard to read between the lines.

Spheris is already transitioning or has transitioned almost all of their accounts to speech recognition (SR) anyway. I hate it because I got into this line of work because I love to type, not because of the money, and I fought it kicking and screaming, but to no avail. The 3 accounts that I work on are all SR, I believe more of our accounts are SR than are not, and eventually they will all be. I think no matter what company you work for, unless it is a small one, SR is going to be the eventual end result everywhere.

I left Spheris when I was told that my account was transitioning to VR. I won't do it, period. It is possible to find companies where there is no VR. I'm good at what I do, which is transcription. I also expect to be paid decently. If it comes to the point where there is nothing left but VR, it will be bye bye transcription for me. I won't work for peanuts.

I've been with Spheris for almost 6 years now, and absolutely love my job, my supervisors and my accounts (but hate VR). After reading the various posts though, I'm having some anxiety about the unknown. I never considered going anywhere else, but who knows? What does etransplus use for platforms? are they hiring? anything else? TIA

They use Acuity, which is okay. They also have some accounts on Meditech, but not many I believe. They were hiring not too long ago, you can go to their website and check it out and test. They pay on a tiered scale, have shift differentials and benifits.

I had an interview with Spheris yesterday.  It sounds too good to be true - more per line than I'm making now, plus production bonus and weekend shift differential?  And better insurance too.  Okay. I worked for MQ.  My check got smaller and smaller as they revamped the bonuses and brought in VR (which absolutely refused to be taught anything).  So tell me the truth - would I be jumping back into the same fire with Spheris? ...
