Current company merging to M*Modal - offered a job at Proscript - Stressing

Got the email Monday about the merge. From what I've heard about M*Modal, nothing but nitpicking, micromanaging and NJA. Got offer from ProScript. Not sure which one to take. One plus about PS, no line requirement and flexibility. Seems more my speed, as I still have a young child at home and work nights.
